Welcome to Study Abroad. These Terms of Use ("Terms") govern your access to and use of our website, services, and any related applications (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Acceptance of Terms

By using our Services, you represent that:

• You are at least 16 years of age
• You have the legal capacity to enter into a binding agreement
• All information you provide is accurate, current, and complete
• You will comply with all applicable laws and regulations

2. Description of Services

Study Abroad provides educational consultancy services, including but not limited to:

• University admission guidance and application support
• Visa application assistance
• Scholarship search and application guidance
• IELTS preparation guidance
• Documentation support for study abroad applications
• General counseling and information about studying abroad

Important: We are a consultancy service. We do not guarantee admission to any university, visa approval, or scholarship awards. Final decisions rest with universities, embassies, and scholarship providers.

3. User Responsibilities

As a user of our Services, you agree to:

• Provide accurate, truthful, and complete information in all applications and communications
• Maintain the confidentiality of your account credentials
• Notify us immediately of any unauthorized use of your account
• Respond promptly to our requests for information or documentation
• Meet all deadlines for document submission and application processes
• Pay all fees and charges as agreed
• Comply with all university, visa, and scholarship requirements
• Not misrepresent your qualifications, experience, or background
• Not use our Services for any illegal or unauthorized purpose

4. Fees and Payment

Our consultation services are free of charge. However, we charge service fees for comprehensive application support, which include:

• University application processing (up to 5 universities)
• Document preparation and review
• Visa application assistance
• Ongoing support throughout the application process

Payment Terms:

• Service fees are agreed upon before we begin work on your applications
• Payment schedules will be outlined in your service agreement
• All fees are non-refundable once services have been rendered
• You are responsible for all third-party fees (university application fees, visa fees, IELTS fees, etc.)
• We may earn commission from partner universities, which does not affect the cost to you

5. Refund Policy

Our refund policy is as follows:

• Before services commence: Full refund if you cancel before we begin work on your applications
• After services commence: No refund once we have started processing your applications
• Partial completion: Refunds for partially completed services will be evaluated on a case-by-case basis
• Third-party fees: University application fees, visa fees, and other third-party charges are non-refundable

Note: Refunds do not apply in cases of visa rejection, university rejection, or scholarship denial, as these decisions are made by third parties beyond our control.

6. Limitations of Service

You acknowledge and agree that:

• We provide guidance and support but cannot guarantee specific outcomes
• University admissions, visa approvals, and scholarship awards are decided by third parties
• We are not responsible for changes in university requirements, visa policies, or immigration laws
• We cannot control processing times of universities, embassies, or other institutions
• Information provided is based on our knowledge and experience but may not cover all scenarios
• You are ultimately responsible for your own applications and decisions

7. Intellectual Property

All content on our website and in our materials, including text, graphics, logos, images, and software, is the property of Study Abroad or its licensors and is protected by copyright and other intellectual property laws.

You may not:

• Copy, reproduce, or distribute our content without permission
• Modify or create derivative works from our materials
• Use our trademarks or branding without authorization
• Remove or alter any copyright notices or proprietary markings

8. Confidentiality

We treat all information you provide as confidential and will not share it with third parties except:

• With universities, embassies, and scholarship providers as necessary for your applications
• With service providers who assist us in delivering our services
• When required by law or legal process
• With your explicit consent

9. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Services will be uninterrupted, timely, secure, or error-free
• Warranties regarding the accuracy or reliability of information provided
• Warranties that defects will be corrected

We do not warrant that use of our Services will result in university admission, visa approval, or scholarship awards.

10. Limitation of Liability

To the maximum extent permitted by law, Study Abroad shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Cost of substitute services
• Emotional distress or disappointment
• Damages resulting from university rejection, visa denial, or scholarship denial
• Damages resulting from delays in processing or missed deadlines

Our total liability to you for any claims arising from or related to our Services shall not exceed the amount of fees you have paid to us.

11. Indemnification

You agree to indemnify, defend, and hold harmless Study Abroad, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:

• Your use of our Services
• Your violation of these Terms
• Your violation of any rights of another party
• Any false or misleading information you provide
• Your failure to comply with university, visa, or scholarship requirements

12. Termination

We reserve the right to suspend or terminate your access to our Services at any time, with or without notice, for any reason, including:

• Violation of these Terms
• Providing false or misleading information
• Failure to pay fees
• Abusive or inappropriate behavior toward our staff
• Engaging in fraudulent activities

Upon termination, your right to use our Services will immediately cease. Termination does not relieve you of any payment obligations incurred prior to termination.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Iraq, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or our Services shall be resolved through:

1. Negotiation: We encourage you to contact us first to resolve any disputes informally
2. Mediation: If negotiation fails, disputes may be submitted to mediation
3. Arbitration or Court: If mediation is unsuccessful, disputes shall be resolved by the competent courts in Iraq

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by:

• Posting the updated Terms on our website
• Updating the "Last updated" date at the top of this page
• Sending you an email notification (for significant changes)

Your continued use of our Services after any changes constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy and any service agreements you enter into with us, constitute the entire agreement between you and Study Abroad regarding the use of our Services.
